This Florist Participation Agreement governs your participation as an independent florist on SendFlowers.Florist / The Floral Exchange (“we”, “our”, or “the Platform”). Florists are independent businesses and contractors: not employees or agents of the Platform. Nothing in this Agreement creates an employment, partnership, joint-venture or agency relationship.
Participation requires a clear, affirmative acceptance of this Agreement, our Terms of Service and our Privacy Policy during onboarding and account creation. Acceptance is recorded with a timestamp and retained. Unchecked boxes or implied consent do not constitute acceptance.
- As an independent florist, you are responsible for:
- Order acceptance: choosing which routed orders to accept.
- Floral design and substitutions: creating arrangements of equal or greater value that preserve style, color and sentiment.
- Delivery and timing: fulfilling on the requested date with reasonable effort.
- Customer service: communicating with customers about their orders.
- Local laws and business licenses.
- Taxes, reporting and regulatory compliance in your jurisdiction.
- As an independent florist, you are responsible for:
- We use Stripe Connect to facilitate secure payments and payouts.
- On public orders the customer pays the arrangement price plus a flat $1.50 sending fee. That fee is the platform’s, and it is not deducted from you.
- You receive the full arrangement price, with nothing deducted. Delivery and any applicable sales tax come out of that price, so set your prices accordingly.
- On florist-to-florist Exchange orders a $1.50 Florist Cashback Contribution is credited to the sending florist. Cashback does not apply to public orders.
- By participating, you agree to Stripe’s terms and authorize us to initiate payouts to your connected bank account.
- There are no subscriptions or membership dues: you only transact when you accept orders.
Flowers are a natural product subject to seasonal and market availability. You may make substitutions of equal or greater value while maintaining the overall style, color and sentiment of the arrangement. Customers accept that exact replication is not guaranteed under our “Let The Florist Create” policy.
You agree to act in good faith and to uphold the integrity of the exchange. The Floral Exchange reserves the right to investigate suspicious activity, verify accounts, suspend participation and remove accounts reasonably believed to threaten exchange integrity, fraud prevention or platform security. Where reasonably practicable, you will receive notice and an opportunity for clarification.
- To the maximum extent permitted by applicable law, Platform liability is limited to the fees paid directly to the Platform.
- Consequential, speculative or indirect losses are excluded.
- No warranty is given for uninterrupted or error-free operation.
- Nothing here limits liability that may not be excluded by law, including for fraud, wilful misconduct or non-excludable statutory rights.
Disputes should be resolved promptly and in good faith. Parties agree to communicate directly, provide reasonable written notice and use platform procedures before formal proceedings, and to make reasonable efforts toward mediation prior to litigation. Urgent legal relief remains available where necessary.
- This Agreement is governed by the laws applicable to the operations through which you transact:
- Schedule A: Georgia, USA: laws of the State of Georgia; venue in Georgia courts.
- Schedule B: Florida, USA: laws of the State of Florida; venue in Florida courts.
- Schedule C: United Kingdom: laws of England and Wales.
- This Agreement is governed by the laws applicable to the operations through which you transact:
There is no lock-in. Either party may end participation at any time, subject to completing any orders already accepted. We may suspend or terminate participation for breach of this Agreement or to protect the exchange.
