By accessing or transacting through SendFlowers.Florist / The Floral Exchange (“we”, “our”, or “the Platform”), you positively acknowledge and agree to these Terms of Service, our Privacy Policy and our Legal Conditions.
Acceptance is given through a clear opt-in during onboarding, registration and checkout: for example: “I have read and agree to the Terms & Conditions, Privacy Policy and Legal Conditions of SendFlowers.Florist / The Floral Exchange.” Unchecked boxes or implied consent do not constitute acceptance. A timestamped record of your acceptance is retained.
SendFlowers.Florist / The Floral Exchange operates as a technology, routing and payment-facilitation platform that connects customers with independent local florists. We do not own or operate floral shops.
- The Platform is not:
- the florist fulfilling the order;
- the employer or agent of independent florists;
- the manufacturer of floral products;
- a guarantor of florist performance.
Florists remain independent businesses responsible for fulfilment, substitutions, delivery and customer communication.
- The Platform is not:
Independent florists are solely responsible for creating, arranging and delivering orders. While we strive to match your request, exact flower varieties and containers may vary based on seasonality, availability and the florist’s creative judgment. By placing an order, you accept our “Let The Florist Create” policy.
Florists may make substitutions of equal or greater value while maintaining the overall style, color and sentiment of the arrangement. Exact replication is not guaranteed.
- Customers pay the arrangement price plus a flat $1.50 sending fee and the card processing cost, each shown as its own line at checkout.
- Your card is authorised when you place the order and charged only once a local florist accepts it. If no florist accepts before the cutoff, the authorisation is released and you are not charged.
- Payment processing is securely handled by Stripe, which is PCI compliant. We do not store sensitive card information.
- The fulfilling florist receives the full arrangement price, with no platform or card processing deduction, and is responsible for delivery and for any applicable sales tax, reporting and remittance in their jurisdiction.
- We do not collect or remit sales tax.
We and our users agree that disputes should, wherever reasonably possible, be resolved promptly, professionally and in good faith. If you have an issue with an order, please contact the delivering florist first.
- Prior to commencing formal proceedings, parties agree to:
- communicate concerns directly;
- provide reasonable written notice of the dispute;
- allow an opportunity for review and resolution through platform procedures.
Where a dispute cannot be resolved informally, parties agree to make reasonable efforts to participate in mediation or a mutually agreed dispute-resolution procedure prior to litigation. Nothing in this section prevents a party from seeking urgent legal relief where necessary.
- Prior to commencing formal proceedings, parties agree to:
- To the maximum extent permitted by applicable law, Platform liability is limited to the fees paid directly to the Platform.
- Consequential, speculative or indirect losses are excluded.
- No warranty is given for uninterrupted or error-free operation.
- Nothing here limits liability that may not be excluded by law, including for fraud, wilful misconduct or non-excludable statutory rights.
The Floral Exchange reserves the right to investigate suspicious activity, verify accounts, suspend participation and remove accounts reasonably believed to threaten exchange integrity, fraud prevention or platform security. Where reasonably practicable, affected users will receive notice and an opportunity for clarification.
- These Terms are governed by the laws applicable to the operations through which you transact:
- Schedule A: Georgia, USA: governed by the laws of the State of Georgia; venue lies within Georgia courts unless otherwise agreed.
- Schedule B: Florida, USA: governed by the laws of the State of Florida; venue lies within Florida courts unless otherwise agreed.
- Schedule C: United Kingdom: governed by the laws of England and Wales.
Nothing within these Terms shall exclude or restrict statutory consumer protections or non-excludable legal rights.

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above, and continued use of the Platform constitutes acceptance of the updated Terms.
